User agreement

USER AGREEMENT:
UPL TELECOM s.r.o here and throughout the text be referred to as OPERATOR, publishes this AGREEMENT as terms of service offered non-exclusively to general public.
The fact of Subscribers' registration to services offered is full and final acceptance of this agreement. Similarly, subscribers' registration at the operator website is, by way of this clause, considered a full commitment to this agreement, namely with UPL TELECOM s.r.o member of Kernel Networks Group LTD.

1)Subject of the Agreement
1.1 The Operator provides telecommunication services (Services or Service form here and throughout the text) to the Subscriber at prices listed in the current tariffs and rates tables, as published on the Operators web site, while the Subscriber receives the services and remunerates the Provider in accordance with the terms of this agreement.
1.2 This Agreement and Its Appendices -Listing and description of services and usage thereof-are all official operatior documentation. All appendices are inseparable part of this agreement. Current version of each of the above mentioned documents is listed at the Operator website www.freeopencall.com

2)Obligations of the agreeing parties.
2.1 Operator Obligations
Operator:
2.1.1Undertakes, from the time registration details are received, to provide the service to the Subscriber, as defined by this agreement and its appendices, with the quality that must be deemed appropriate.
2.1.2. Must maintain proper accounts of the particulars and costs of services provided to the Subscriber, and make this information available to the Subscriber, in a way of a current account.
2.1.3 Must facilitate advisory, informational and consultation support to the Subscriber within the bounds of this Agreement, via telephone or email.
2.2. Subscriber Obligations
The Subscriber:
2.2.1 Undertakes to follow the terms as laid out by this Agreement and Its Appendices, serving as inseparable part of the agreement.
2.2.2. Assumes full responsibility for bearing the costs/bills associated with all telecommunication and connection requirements to gain access to the Operator Services.
2.2.3 Is only allowed legitimate use of the Services and must indemnify the Operator from all and any costs and/or damages resulting from illegitimate or harmful use of the services.
2.2.4 Is responsible for the safety of his/her User Name and Password and damages, that may result in unauthorised use of the identification details. All instances of Subscriber's communication with the Operator are considered to be made by Subscriber only.

3 Rights of Agreeing Parties.
3.1 Operator Rights
3.1.1. Has right to cancel the service as a whole, or partially, should Subscriber's current account balance be zero or negative.
3.1.2. Has right to cancel the service as a whole, or partially, without notice, should Subscribers actions be inconsistent with this Agreement and Its Appendices, current USA, Czech Republic and European Union legislations. In the latter case the notification will be displayed in the Subscribers control panel on the Operator website.
3.1.3. Reserves the right to carry out network maintenance and repair work, that may involve total loss of Service to the Subscriber, while a 24 hour advance notice of such work commencement must be displayed on the Operator web site.
3.2 Subscribers Rights
Subscriber:
3.2.1 Has right to receive consultation and relevant information in connection with what is contained within the Service, its form and particulars. As well as configuration of the standard/listed equipment required for the Service, and information regarding the Subscribers current account.
3.2.2. Has right to select the Service from those provided by the Operator and contained within the tariff.

4 Terms of Payment
4.1 Access to Services as a whole or any of their part, is provided while the Subscriber's current account balance remains positive
4.2 Tariffs may be set in a number of designated currencies, but are inclusive of all taxes and charges. Subscribers costs, as applied to the current account are nominated in client's designated currency.

5. Agreeing Parties Responsibilities and Arbitrations.
5.1 Operator cannot to be held responsible for the content received by the Subscriber via the Service
5.2 Operator cannot be held responsible for the damages incurred or suffered by the third parties due to usage of information, goods and services received, transmitted or sold via the Internet
5.3 Operator is not responsible for normal operation of segments of the Internet, nor can guarantee connection or access to Internet or Telecommunication operators' segments or servers, that are temporarily or permanently off-line.
5.4. Operator cannot guarantee Subscribers ability to call to local emergency numbers.
5.5 Operator cannot be held responsible and cover the damages resulting from the unauthorised access of third parties to the information held on the current account of the Subscriber, when the Subscriber or a third party is at fault for this breach.
5.6 Operator cannot be held responsible for direct or indirect damage resulting from use, or unavailability, of the Service, errors, suspensions or interruptions in the Service, file deletions, function modifications, hardware or software faults or deficiencies, delays in data transmission and similar occurrences where Operator is not at fault.
5.7. Subscriber assumes full responsibility for risks associated with using materials, inforamtion, advertising, goods and services received via the Internet
5.8. Subscriber must indemnify the Operator and keep the Operator indemnified from being a defendant or a co defendant in cases related to:
5.8.1 Periods of Provider Services being unavailable to the Subscriber, or persons authorised by the Subscriber to be act on his/her behalf
5.8.2. Placement, receipt or non receipt of any message, information, piece of software or any other material in the Internet by the Subscriber, or persons authorised by the Subscriber to be act on his/her behalf.
5.8.3 access to the services by the persons not being the Subscriber, but using his/her authorisation details.
5.9 In the event any clause of this Agreement may not be interpreted or applied to a particular situation, it is then dealt with according to the legislation of the EU member state where the Operator switch is located, taking into consideration the initial interests of all parties. In such an event the rest of the Agreement clauses remain in force. Common or customary practice of resolving any relevant situations must not supersede any and all clauses of this agreement.

6 Duration of the Agreement.
6.1 This Agreement becomes valid and in force from the time the Subscriber becomes registered with the Operator.
6.2 Subscriber has the right to terminate this agreement at any time. The balance remaining on the current account at the time of termination shall be retained by the Operator.
6.3 Operator has the right to terminate this agreement provided that clauses 4.1 and 4.2 become enforceable.
6.4 Should access to the Services as a whole or any of their part be terminated due to a breach of this Agreement, balance remaining on the current account at the time of termination shall be retained by the Operator and no compensations shall be made.
6.5 The Operator cannot be held responsible for not informing third parties that the agreement has been terminated and hence resulting consequences.

7 Special Conditions
7.1 The Operator reserves the right to modify the conditions of this Agreement, make adjustments to rates and tariffs, add new causes and appendices to this Agreement. Such amendments must be published at the Operators server http://www.freeopencall.com no later than 10 days before coming into effect.
7.2 The Subscriber is responsible for making sure he/she is aware of any of such changes, by regularly monitoring changes on the server http://www.freeopencall.com. Continuation to use the services 10 days post the amendments notification has been advertised is deemed as acceptance of the amended agreement.
